01Who We Are, and What These Words Mean

"sips after midnight", "we", "us" and "our" mean SOFTCID LLC, a limited liability company organised under the laws of the State of Wyoming, United States, trading as sips after midnight. "Services" means our written readings, live readings, free tools, blog and website. "Reading" means any written or spoken astrological interpretation we deliver. "You" means the person who purchases or uses the Services. "Other People" means any person other than you whose birth details you provide to us, for example a partner, an ex, or a third person in a trio reading.

02Nature of the Services

We provide astrological analysis and interpretation based on astronomical position data and interpretive traditions. Our readings, including readings that use asteroids, minor bodies, fixed stars, composite charts and similar techniques, are interpretive and symbolic. They are not scientifically validated and should not be relied upon as the basis for any decision.

Readings describe the symbolism of a birth chart and of the relationship between charts. They are not statements of fact about any person's character, feelings, intentions, behaviour, health, sexuality or history. Any reference to timing, future periods, outcomes or "what happens next" is astrological symbolism about cycles, not a prediction of events.

Where a reading includes a compatibility score, ranking, comparison or similar summary, that figure is an illustrative summary of astrological aspect patterns produced by our own weighting method. It is not a measurement of any real relationship or person.

03Not Professional Advice, and Not a Crisis Service

Our Services are not, and are not a substitute for, medical advice, psychological or mental-health care, relationship or marriage counselling, legal advice, financial or investment advice, or any other regulated professional service. Always consult a qualified, licensed professional for matters relating to health, mental health, safety, legal, financial or other professional concerns.

Our Services are not a crisis service. If you or anyone else is in danger, experiencing abuse, or in a mental-health emergency, contact your local emergency services or a crisis helpline immediately.

04No Guarantees or Warranties

The Services are provided "as is" and "as available", without warranties or guarantees of any kind, express or implied, including accuracy, completeness, reliability, merchantability or fitness for a particular purpose. We do not guarantee that any reading will be accurate, that any interpretation will apply to your situation, that any timing or outcome described will occur, or that you will achieve any particular result. Astrological interpretation is subjective; different astrologers can read the same chart differently.

Testimonials and comments shown on our website or social media are the personal opinions of individual clients and viewers. They are not promises about what your reading will contain or what you will experience.

05Your Decisions Are Yours

You use the Services voluntarily and at your own risk. You agree that you will not make any significant decision, including decisions about relationships, safety, health, finances, career, legal matters, or about another person, based solely on a reading. You are solely responsible for every action you take or decision you make after receiving a reading, and we accept no responsibility for the consequences of those decisions.

06Birth Details You Provide About Other People

Many of our readings, including synastry, trio and live synastry readings, require the birth details of Other People. Because those people are not our clients, the following rules apply and are a condition of purchase.

(a) What to provide. Provide only a first name or nickname, date of birth, time of birth if known, and city of birth. Do not provide surnames, contact details, photographs, social-media handles, or any other information about Other People. If you provide more than we ask for, we will delete it.

(b) Your confirmations. By providing birth details of Other People you confirm that you have the right to provide them, that you are requesting the reading for your own personal insight and self-reflection, that you take responsibility for the accuracy and lawfulness of the details you provide, and that you will not show or send the reading to the Other People it describes without their agreement.

(c) What we do and do not do. We use the birth details of Other People solely to prepare your reading. We never contact Other People. We never share their details with anyone except the service providers listed in our Privacy Policy. We delete their birth details within the period stated in our Privacy Policy. If an Other Person contacts us and asks what we hold about them or asks us to delete it, we will respond as the law requires, and we may tell them that a reading involving their details was requested, without telling them who requested it unless the law requires us to.

(d) Symbolism, not facts. Anything a reading says about an Other Person is a description of a birth chart and of how two charts interact. It is not a statement about who that person is, what they feel, what they intend, or what they have done.

(e) Prohibited uses. You may not use the Services to harass, stalk, intimidate, expose, defame or discriminate against any person, to make decisions about another person's safety, custody, employment, housing or similar rights, or to obtain a reading about a person who has told you they do not want their details used. We may refuse, cancel or stop any order that we reasonably believe breaches this clause, and we will refund any amount paid for work not yet delivered.

(f) Age. Every person whose birth details are used in a synastry, trio or live synastry reading must be at least 18 years old. A natal reading about a person under 18 may be requested only by that person's parent or legal guardian, for that child's chart only.

07Age Requirement

You must be at least 18 years old to purchase a reading or to use the free tools. By purchasing, you confirm that you are 18 or older.

08Birth Details and Accuracy

You are responsible for the accuracy of the birth details you provide, for yourself and for Other People. Astrological calculation depends on exact time and place; an approximate or unknown birth time changes the result. We are not responsible for inaccuracies caused by incorrect, incomplete or approximate details. Where a birth time is unknown we will say so in the reading and will leave out or qualify the parts of the chart that depend on it.

09Payment and Pricing

Prices are shown in US dollars and are payable in full at the time of booking. Payments are processed by third-party payment providers such as Stripe, under their own terms. We may change prices at any time; changes do not affect orders already paid for.

10Delivery, Starting Work, and Your Right to Cancel

Written readings. Delivery estimates shown at checkout (for example 3 to 5 days for synastry readings) are estimates, not guarantees, and may vary with volume and complexity. If we have not delivered your written reading within 30 days after the end of the estimated delivery window, you may cancel and receive a full refund.

Starting work immediately. Written readings are personalised digital content created specifically for you. At checkout you expressly request that we begin work on your reading immediately, and you acknowledge that once work has begun you lose any statutory right of withdrawal or cancellation that would otherwise apply, including the 14-day right that applies to consumers in the European Union and the United Kingdom. We will confirm this request in your order confirmation email.

Grace period. If we have not yet started work on your reading, you may request a full refund within 24 hours of purchase by emailing us.

Live sessions. You may reschedule a live session up to 24 hours before its start time. No-shows and cancellations with less than 24 hours notice are non-refundable. If we need to cancel or reschedule, you may choose a new time or a full refund.

11Refunds and Chargebacks

Once a written reading has been delivered, no refund is given. Dissatisfaction with the content, interpretations or conclusions of a reading is not grounds for a refund, because astrological interpretation is subjective and you accepted this at checkout. If something has gone wrong, for example a reading was calculated with the wrong birth details you supplied correctly, email us first and we will fix it or refund it. If you open a payment dispute without contacting us first, we will provide the payment provider with our record of your acceptance of these terms and of delivery.

12Confidentiality and Use of Your Reading

Your reading is prepared for you and is confidential. It is licensed to you for personal, non-commercial use. You may not reproduce, distribute, resell, publish or publicly share it, except that you may share brief excerpts about your own chart for personal, non-commercial purposes such as social-media posts, provided you credit "sips after midnight" and remove any name, birth details or identifying information about Other People.

If you choose to show or send a reading to an Other Person it describes, you do so on your own responsibility and you accept that we prepared it for you alone, on the basis of the confirmations in clause 06.

13Intellectual Property

All readings, text, graphics, designs, calculators, cards, blog content and other materials on this website and delivered through the Services belong to sips after midnight and are protected by copyright and other intellectual-property laws. Nothing in these terms transfers any ownership to you.

14Live Sessions and Recordings

Live sessions may be recorded so that we can send you a copy. By joining a live session you consent to the recording. Recordings are for your personal use only and may not be published or shared without our written consent. You may not record a session yourself without telling us first. We keep our copy of a recording for 90 days after the session and then delete it.

15Free Tools

Our free tools, including the birth chart calculator, the synastry and rival checker, and daily transit cards, are provided "as is", for entertainment and curiosity, with no guarantee of accuracy. They are subject to these terms, including clauses 02 to 06. Birth details entered into the free tools are processed to display your result and are not stored by us, unless you ask us to email you the link back to your chart. In that case we keep the details you entered for 30 days so the link can reopen the same chart, and then delete them. Cards generated by the free tools for sharing do not include the names of Other People.

16Acceptable Use

You agree not to use the Services in any way that is unlawful, that infringes anyone's rights, or that breaches clause 06. You agree not to submit false details in order to obtain a reading about someone else's relationship or private life. We may suspend or refuse service to anyone who breaches these terms.

17Third-Party Tools and Data Sources

The Services use third-party tools, platforms and data sources, including astronomical ephemeris data, payment processors, email and scheduling providers. We are not responsible for the accuracy, availability or reliability of any third-party service. References to NASA, JPL, the Swiss Ephemeris or any other scientific organisation or data source describe publicly available data we use for calculation and do not imply endorsement, partnership or affiliation.

18Limitation of Liability

To the fullest extent permitted by applicable law, SOFTCID LLC, its owner, members, managers, employees, agents, contractors and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of income, profits, data, reputation or relationships, or for emotional distress, arising out of or connected with the Services or any reading, however caused and under any theory of liability, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability for all claims arising out of or connected with a reading or the Services shall not exceed the amount you paid for the specific reading giving rise to the claim, or 10 US dollars if you paid nothing.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, for death or personal injury caused by negligence, or any mandatory consumer-protection rights you have in your country of residence.

19Indemnification

You agree to indemnify, defend and hold harmless SOFTCID LLC, its owner, members, managers, employees, agents, contractors and affiliates from and against all claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your breach of these terms, any decision or action you take based on a reading, and any claim by an Other Person or any third party relating to birth details or other information you provided to us.

20Informal Resolution, Arbitration and Consumer Rights

Talk to us first. Before starting any formal proceeding, you agree to email us at privacy@sipsaftermidnight.com with a description of the problem and to give us 30 days to resolve it.

Arbitration (United States). If we cannot resolve a dispute informally, any dispute arising out of or relating to these terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may be conducted by video, telephone or written submissions, and any in-person hearing will take place in Wyoming or in the county where you live, at your choice. You and we each waive the right to a jury trial and to participate in a class action or class-wide arbitration. Either party may bring an individual claim in small-claims court instead. You may opt out of this arbitration clause by emailing us within 30 days of your first purchase, with the subject line "arbitration opt-out"; opting out does not affect any other part of these terms.

Consumers in the European Union, United Kingdom and elsewhere. Nothing in this clause deprives you of the protection of mandatory consumer laws of your country of residence, or of any right you have under those laws to bring a claim before the courts or consumer bodies of that country. Where the law gives you that right, this clause does not require you to arbitrate.

21Governing Law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules, and without prejudice to any mandatory consumer-protection provisions of the law of the country where you habitually reside.

22Changes to These Terms

We may update these terms from time to time. The updated version will be posted on this page with a new "Last updated" date and version number. The version you accepted at checkout governs the order you placed under it. Continued use of the website after a change constitutes acceptance of the new version for future use.

23General

If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be enforced to the maximum extent permitted. These terms, together with our Privacy Policy and the confirmations you give at checkout, form the entire agreement between you and us regarding the Services and replace all earlier agreements and representations. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours to a successor of the business.
